These Terms of Service ("Terms") are a legal agreement between you ("you", "Client") and RentalSMMPanel ("we", "us", "our"). They govern your access to and use of our service: a hosted, white-label SMM panel website and app-style dashboard that we provide to resellers and agencies on a subscription (rental) basis. By ordering, accessing, or using the service you agree to these Terms.
1. The Service
We rent you a ready-to-use, white-label SMM panel — a customer-facing website plus a mobile app-style dashboard — hosted and maintained by us under your own brand. You operate it as your own storefront to resell social-media marketing services. We provide the platform and hosting; we do not supply or guarantee the underlying social-media services themselves.
2. Eligibility & Your Account
You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity that occurs under your account, including actions by your staff and your customers.
3. Subscription, Billing & Renewal
- Your plan is billed in advance for the cycle you select (for example monthly, quarterly, or yearly).
- Subscriptions renew automatically for the same cycle until you cancel, as described in our Refund & Cancellation Policy.
- Prices may change; we will give reasonable notice before a change affects your renewal. Applicable taxes may be added.
- If payment fails or is overdue, we may suspend or limit access until the balance is cleared.
4. Your Panel & Your Customers
You set your own retail prices, promotions, and policies, and you deal directly with your own customers. You are solely responsible for your customers, the orders they place, the support you provide, and any representations you make to them. We are a technology provider and are not a party to the transactions between you and your customers.
5. Acceptable Use
You agree not to use the service to:
- break any law, or facilitate fraud, money-laundering, or deceptive practices;
- send spam or engage in activity that violates the terms of third-party platforms (such as Instagram, YouTube, Facebook, or TikTok) in a way that creates liability for us;
- resell, sublicense, or transfer access to the platform to unauthorised parties;
- attempt to breach, reverse-engineer, copy, overload, or disrupt the platform or its security.
6. Third-Party Providers
The social-media services offered through your panel are fulfilled by third-party provider APIs that you connect. Their availability, quality, pricing, and delivery times are outside our control, and we do not guarantee any specific outcome from any third-party provider.
7. Intellectual Property & Licence
The platform, software, and design are owned by us or licensed to us. During your active subscription we grant you a limited, non-exclusive, non-transferable licence to use the platform under your own brand. Your own brand assets (logo, name, content) remain yours; you grant us permission to display them within your panel to operate the service.
8. Availability & Maintenance
We aim for high uptime but do not guarantee uninterrupted, error-free service. We may perform maintenance and updates, and we are not liable for downtime caused by factors beyond our reasonable control, including third-party hosting, networks, or providers.
9. Suspension & Termination
We may suspend or terminate your access for breach of these Terms, non-payment, or abuse. You may cancel at any time under the Refund & Cancellation Policy. On termination your right to use the platform ends; we may delete account data after a reasonable period.
10. Disclaimers & Limitation of Liability
The service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the fees you paid to us in the three (3) months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, or for lost profits, revenue, data, or goodwill.
11. Indemnity
You agree to indemnify and hold us harmless from claims, damages, and costs arising out of your use of the service, your dealings with your customers, your content, or your breach of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and your continued use of the service after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of India, and any disputes are subject to the jurisdiction of the competent courts in India, without regard to conflict-of-law rules.
